近日，我司（中天控股集團有限公司，下稱“中天控股”）獲悉媒體大量鋪發(fā)題為《中天建設遞交香港上市招股書》的新聞資訊。經(jīng)查，新聞中提及在香港招股的所謂“中天建設集團有限公司”，系“湖南中天建設集團股份有限公司”（下稱“湖南中天”）及相關企業(yè)和人員在開曼群島設立的境外企業(yè)，成立時間不足半年。與中天控股旗下公司“中天建設集團有限公司”（下稱“中天建設”）無任何關系。
湖南中天建設系湖南株洲一家民營建筑企業(yè)，前身為株洲市住宅建筑公司，成立于1979年，2004年改制并更名為湖南中天建設有限公司。根據(jù)工商注冊信息和招股書顯示：該公司注冊資本6160萬元，5項一級施工資質；2019年末在建項目合同額56.6億，新增獲授建設項目合同額11.4億，收入18.2億，人員規(guī)模200-299人；公司絕大部分收入來自于湖南、海南兩省，其中株洲一地占比57.7%。
中天控股旗下中天建設前身為東陽市建筑安裝公司，成立于1949年，1996年改制并更名為“浙江中天建設工程集團有限公司”；2001年正式啟用“中天建設集團有限公司”名稱。中天控股2019年完成銷售與產(chǎn)值1300億，列中國500強第218位，中國承包商80強第8位。中天建設注冊資本32.5億元，具備房屋建筑工程總承包特級資質、建筑行業(yè)工程設計甲級及十幾項專業(yè)資質，經(jīng)營地域覆蓋國內二十多個省、直轄市、自治區(qū)，海外業(yè)務已拓展到非洲、東盟及南亞等地。2019年，中天建設全年完成產(chǎn)值870億元，年竣工面積近3800萬平方米。中、高級工程師達2700余人，各類注冊類人員2200余人。先后獲得全國質量管理獎、全國文明單位、中華慈善獎、全國守合同重信用單位、全國建筑業(yè)誠信企業(yè)、全國建筑業(yè)AAA級信用企業(yè)等獎項和稱號；行業(yè)內共創(chuàng)魯班獎25項，為創(chuàng)建魯班獎工程突出貢獻獎（金獎）單位。
我司對此鄭重聲明，中天控股擁有“中天建設集團有限公司”在中國大陸的正式注冊身份和唯一合法使用權。對湖南中天在境外注冊同名企業(yè)，并在招股說明書、中文媒體報道中大量使用不加必要前綴的“中天建設”一詞的行為表示質疑，并保留對其今后在中國大陸范圍內不當使用名稱對我司聲譽、市場等造成任何負面影響的訴訟權利。

Recently, our Company (Zhongtian Holdings Group Co.Ltd., hereinafter referred to as “Zhongtian Holdings”) learns thata large number of news and information entitled “Zhongtian Construction Submits Prospectus for Listing in Hong Kong” are published by the media.Based on investigation, our Company finds that the so-called “Zhongtian Construction Group Co. Ltd.” intending to make initialpublic offering in Hong Kong as referred to in the news is an overseas enterprise established by “Hunan Zhongtian Construction Group Co.Ltd.”(hereinafter referred to as “Hunan Zhongtian”) and the relevant enterprises and persons in the Cayman Islands no more than half a year ago, and has no relationship with “Zhongtian Construction Group Co.Ltd.”(hereinafter referred to as “Zhongtian Construction”), which is subordinate to Zhongtian Holdings.
Hunan Zhongtianis a private construction enterprise in Zhuzhou, Hunan, and formerly known as Zhuzhou Residential Construction Companywhich was established in 1979,and restructured and renamed as Hunan Zhongtian Construction Co.Ltd. in 2004. As shown in the industrial and commercial registration information and the prospectus, the company has a registered capital of RMB 61.60 million Yuan and five first-class construction qualifications; by the end of 2019, the company had the projects under construction in the contract amount of RMB 5.66 billion Yuan, had the new approved construction projects in the contract amount of RMB 1.14 billion Yuan, achieved the revenue of RMB 1.82 billion Yuan, and had 200-299 employees.The company gained most of the revenue from Hunan and Hainan, and the revenue gained from Zhuzhou accounted for 57.7%.
Subordinate to Zhongtian Holdings, Zhongtian Construction is formerly known as Dongyang Construction and Installation Company, which was established in 1949 and restructured and renamed as “Zhejiang Zhongtian Construction Engineering Group Co.Ltd.” in 1996.
